Director Dealing Exercise of Share Options and retention of resulting shares

GVC Holdings PLC (AIM:GVC), the multinational sports betting and gaming group, announces that the Company’s Non-Executive Chairman Lee Feldman purchased 23,875 ordinary shares in the Company at a price of £4.35 per share on 15 May 2014 in furtherance of his bonus reinvestment obligations. Mr Feldman now holds 122,575 ordinary shares of €0.01 each in the Company, equal to approximately 0.2% of the issued share capital of the Company.

The Company also announces that Richard Cooper, Group Finance Director, has today exercised 26,667 share options at a price of £1.26, and Mr Cooper has retained the new ordinary shares resulting from this exercise.  The share options were granted to Mr Cooper when he joined GVC in 2008.

The subscription price and the tax due on the notional gain amounts to a total of £71,200.  This exercising of share options is in furtherance of Mr Cooper’s bonus reinvestment obligations and brings his total holding to 326,667 ordinary shares in the Company, which represents 0.5% of the issued share capital of the Company.

Application has been made for the 26,667 new ordinary shares to be admitted to trading on AIM (“Admission”) and it is expected that Admission will take place on 21 May 2014.

Following Admission, the Company will have 60,933,427 ordinary shares in issue. The Company does not hold any ordinary shares in treasury. Therefore the total number of ordinary shares in the Company with voting rights is 60,933,427.

The above figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority’s Disclosure and Transparency Rules.
